1.1. The business relationship between sticky-tiki.com (referred to as “Sticky Tiki” or “we”) and the customer (referred to as “customer” or “you”) is exclusively governed by the following General Terms and Conditions (T&C) in the version valid at the time of order placement.

1.3. A “Vendor” is defined as a user of the Sticky Tiki platform who uploads artwork for sale on products listed on the website. Vendors will receive a commission on the sale of products featuring their artwork.
1.4. These T&C apply to all customers and Vendors using Sticky Tiki and are binding once the user accepts them through the registration or purchase process.
2. Account Registration and Use
2.1. To use the services offered on Sticky Tiki, users must create an account by providing accurate and complete information during the registration process. You are responsible for maintaining the confidentiality of your account login credentials and for all activities under your account.
2.2. Vendors must upload only original artwork and guarantee that they have full ownership or rights to the artwork they submit for use on Sticky Tiki products.
2.3. Sticky Tiki reserves the right to suspend or terminate any account if a user violates these terms, including the submission of infringing or unlawful content.
3. Uploading Artwork and Product Listings
3.1. Vendors are allowed to upload digital artwork to the Sticky Tiki platform for use on various products, including but not limited to clothing, accessories, and other merchandise.
3.2. Vendors must provide high-quality, legally compliant, and original artwork. By uploading artwork, Vendors confirm they own the rights to the artwork or have explicit permission to use it for commercial purposes.
3.3. Vendors agree that their artwork may be modified or adapted for the purpose of being printed on products, including resizing or adjusting the design to fit product specifications.
3.4. Sticky Tiki reserves the right to remove or reject any artwork that does not comply with our guidelines or that we deem inappropriate or infringing on intellectual property rights.
4. Vendor Commissions
4.1. Vendors are entitled to receive a commission on each sale of products featuring their artwork. The commission rate and payment terms will be outlined in the Vendor’s account dashboard and may vary based on the product category or specific promotional offers.
4.2. Commissions are calculated based on the price of the product minus any applicable taxes, shipping fees, and administrative costs.
4.3. Vendors can request a withdraw of their Account Balance earned by Sales comissions anytime at the Vendor dashboard. Payouts are send either by Bank Transfer or Paypal.
4.4. Sticky Tiki reserves the right to modify the commission structure or payment terms at any time, with prior notice to designers.
5. Ownership and Copyright
5.1. Vendors retain ownership of their uploaded artwork. However, by uploading artwork to Sticky Tiki, designers grant Sticky Tiki a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute the artwork on products sold through the platform.
5.2. Vendors acknowledge that Sticky Tiki may sublicense the artwork to third parties for the sole purpose of creating, marketing, and selling the products on the Sticky Tiki website.
5.3. Designers agree to indemnify Sticky Tiki against any claims, damages, or liabilities arising from the infringement of third-party intellectual property rights related to their artwork.
6. Sales and Liability
6.1. Sticky Tiki is not responsible for any disputes arising between customers and Vendors , including but not limited to product quality, intellectual property rights, and commissions.
6.2. Vendors acknowledge that they are responsible for ensuring their artwork does not infringe any copyrights, trademarks, or other intellectual property rights of third parties. Sticky Tiki shall not be held liable for any legal action or claims arising from the use of a Vendor’s artwork.
6.3. Sticky Tiki reserves the right to remove any product listings or artwork that violate intellectual property laws, and Vendors agree to cooperate with Sticky Tiki in resolving any issues related to such violations.
6.4. The sale of products is carried out by Sticky Tiki, and the customer’s purchase constitutes a contract between the customer and Sticky Tiki. Designers are not responsible for processing payments, shipping, or customer service.
6.5. Sticky Tiki is not liable for any issues that arise from the delivery, packaging, or handling of the products once they are shipped. We will not be liable for any damages, losses, or delays in shipping that are outside of our control.
7. Product Pricing and Availability
7.1. Prices for products featuring designer artwork are set by Sticky Tiki and may fluctuate based on market conditions. Sticky Tiki will provide Vendors with updates on product prices and any changes that might affect their commissions.
7.2. Product availability is subject to stock levels, and Sticky Tiki reserves the right to discontinue or modify product offerings at any time.
8. Dispute Resolution
8.1. Any disputes arising between Sticky Tiki and a Vendor will be governed by the laws of the jurisdiction where Sticky Tiki is based. Disputes should be resolved through informal negotiation, but if necessary, can be submitted to binding arbitration in accordance with applicable laws.
8.2. Vendors agree to cooperate with Sticky Tiki to resolve any claims of intellectual property infringement, including providing relevant information and documentation as requested by Sticky Tiki.
9. Termination and Suspension
9.1. Sticky Tiki reserves the right to suspend or terminate any designer account if there is a breach of these Terms & Conditions or if the designer engages in unethical or unlawful behavior.
9.2. If a Vendors’s account is terminated, they will forfeit any commissions that have not yet been paid, and any further products featuring their artwork will be removed from sale.
10. Closing Remarks
10.1. These Terms & Conditions may be updated or amended by Sticky Tiki at any time. The updated version will be posted on the website, and the date of the last update will be indicated at the top of the T&C page.
